Frequently Asked Legal Questions
Do single-member LLCs have to file with FinCEN?
Under the original Corporate Transparency Act framework, single-member LLCs were designated as reporting companies unless meeting one of the 23 statutory exemptions. Under recent 2026 court challenges and FinCEN regulatory notices, always verify whether your entity is domestic or foreign-registered.
What happens if my company becomes exempt after filing?
If a reporting company files an initial BOI report and subsequently qualifies for one of the 23 exemptions (for example, growing to over 20 employees and $5M in revenue), it must file an updated report indicating that it is newly exempt within 30 calendar days.
Is this tool legal advice?
No. The FinCEN Exemption Checker provides mathematical diagnostic estimations based on published federal rules (31 CFR § 1010.380). It does not constitute formal legal counsel. We recommend consulting a corporate attorney or CPA for complex multi-tiered structures.
